Please read these terms carefully before using Iris. By accessing or using our service you agree to be bound by them.
1. Acceptance of Terms
These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “Customer”) and Iris Labs, Inc. (“Iris”, “we”, “us”, or “our”) governing your access to and use of the Iris platform, APIs, SDKs, documentation, and all related services (collectively, the “Service”).
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you and the organization.
2. Description of Service
Iris provides on-demand virtual machine sandbox infrastructure with sub-millisecond checkpoint and restore capabilities built on Firecracker microVMs. The Service includes compute resources, snapshot storage, networking, API access, and associated tooling.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable prior notice where practicable.
3. Accounts and Registration
You must create an account to access the Service. You agree to provide accurate and complete registration information and to keep this information up to date. You are responsible for maintaining the security of your account credentials and API keys.
You must immediately notify us at legal@iris.dev if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Distribute malware, ransomware, or other malicious code;
- Conduct denial-of-service attacks or interfere with other customers’ use of the Service;
- Mine cryptocurrency or perform resource-intensive workloads not related to your stated use case;
- Reverse-engineer, decompile, or attempt to extract source code of the underlying infrastructure;
- Resell or sublicense access to the Service without our express written consent;
- Store personally identifiable information in violation of applicable privacy laws.
We reserve the right to suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated this section.
5. Billing and Payment
Access to the Service beyond any free tier is billed on a usage basis as described on our Pricing page. Cancellations and refund eligibility are governed by our Refund & Cancellation Policy. All fees are in US dollars and exclusive of applicable taxes unless stated otherwise.
You authorize us to charge your payment method on file for all usage incurred. Invoices are generated at the end of each billing cycle. Disputed charges must be raised within 30 days of the invoice date. Unpaid balances may result in suspension of your account.
6. Intellectual Property
We retain all right, title, and interest in and to the Service, including all software, infrastructure, documentation, trademarks, and related intellectual property. These Terms do not grant you any ownership rights in the Service.
You retain ownership of all content, code, and data you run inside your sandboxes (“Customer Content”). You grant us a limited, non-exclusive license to process Customer Content solely to provide the Service.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Sandbox snapshots and associated metadata are stored securely and retained according to your plan settings. You may delete your snapshots at any time via the dashboard or API.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, already known to the receiving party, or independently developed without reference to the disclosed information.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IRIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Iris and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Customer Content, or your violation of these Terms.
12. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved after 30 days, disputes shall be subject to binding arbitration under the AAA Commercial Arbitration Rules in Delaware.
